Terms of Service and End User Licence Agreement (“EULA”)
This Terms of Service and End User License Agreement (hereinafter referred to as the “Agreement”) is between you and CNNCT Limited (hereinafter referred to as “Service Provider”) and governs use of the CNNCT Mobile application and related website (hereinafter referred to as “CNNCT”).
By installing CNNCT, you agree to be bound by this Agreement and understand that there is no tolerance for objectionable content. If you do not agree with the terms and conditions of this Agreement, you are not entitled to use CNNCT.
1. Who May Use CNNCT
You must be at least 12 years old to use CNNCT. Use is void where prohibited. By using CNNCT, you represent and warrant that you have the right, authority and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement. If you use CNNCT, you represent and warrant that you have never been convicted of a felony and that you are not required to register as a sex offender with any government entity.
2. License to Use CNNCT
Service Provider grants you a limited, non-exclusive license to access and use CNNCT for your own personal, non-commercial purposes. This license is personal to you and may not be assigned or sublicensed to anyone else.
Except as expressly permitted by Service Provider in writing, you will not reproduce, redistribute, sell, create derivative works from, decompile, reverse engineer, or disassemble CNNCT. Nor will you take any measures to interfere with or damage CNNCT. All rights not expressly granted by Service Provider, are reserved.
4. Creating a CNNCT Account
To access and use CNNCT, you will need to register and create an account (your "Account"). You can do this by providing an email address and password or through your account with Facebook. When creating an Account, you will be required to provide certain personal information about yourself, including your age. If you choose to register your Account using your Facebook account, we will extract certain personal information from your Facebook account, such as your name, age, email address and other personal information that your privacy settings on your Facebook account permit us to access. Only users who are 12 or older may register an Account on CNNCT.
It's important that you provide us with accurate, complete and up-to-date information for your Account, and you agree to update such information, as needed, to keep it accurate, complete and up-to-date. You agree that you won't disclose your Account password to anyone and you'll notify us immediately of any unauthorized use of your Account. You are responsible for all activities that occur under your Account, whether or not you know about them.
5. Term and Termination; Account Deletion
This Agreement begins on the date you first use CNNCT and continues until terminated in accordance with the provisions hereof.
Service Provider may suspend, disable, or delete your account (or any part thereof) if Service Provider, determines that you have violated any provision of this Agreement or that your conduct or content would tend to damage CNNCT’s reputation or goodwill. If Service Provider deletes your account for the foregoing reasons, you may not re-register under a different name.
Upon termination, all licenses granted by Service Provider will terminate. In the event of account deletion for any reason, content that you submitted may no longer be available. Service Provider shall not be responsible for the loss of such content.
6. Disclaimers; Limitation of Liability
To the extent any disclaimer or limitation of liability does not apply, all applicable express, implied, and statutory warranties will be limited in duration to a period of thirty (30) days after the date on which you first used CNNCT, and no warranties shall apply after such period.
7. Code of Conduct; Prohibited Activities
By using CNNCT, you must behave in a civil and respectful manner at all times. Further, you will not:
Service Provider has the right, but not the obligation, to monitor all conduct on and content submitted to CNNCT.
8. Objectionable Content Policy. Content may not be uploaded or displayed to the extent such content includes, is in conjunction with, or alongside any, Objectionable Content. Objectionable Content includes, but is not limited to: (i) sexually explicit materials; (ii) obscene, defamatory, libelous, slanderous, violent and/or unlawful content or profanity; (iii) content that infringes upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary right, or that is deceptive or fraudulent; (iv) content that promotes the use or sale of illegal or regulated substances, tobacco products, ammunition and/or firearms; and (v) gambling, including without limitation, any online casino, sports books, bingo or poker. If a user has been reported as violating the objectionable content policy an automatic deletion of the content or permanent banning of the user will transpire without prior notice to the user.
9. Content Restrictions
CNNCT uses content from open Internet sources that can be selected, processed and repeatedly reproduced without holding Service Provider responsible for any consequences as a result of these actions.
You are solely responsible for the content that you publish or display (hereinafter, “post”) with CNNCT, or transmit to other users. You will not post on the service, or transmit to other users, any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity). You will not provide inaccurate, misleading or false information to Service Provider, or to any other user. If information provided to Service Provider or another user, subsequently becomes inaccurate, misleading or false, you will promptly notify us of such change. The following is a partial list of content you may not upload, post, or transmit (collectively, “submit”):
Your use of CNNCT, including but not limited to the content you post with CNNCT, must be in accordance with any and all applicable laws and regulations.
You may not include in your user profile any telephone numbers, street addresses, last names, URLs or email addresses.
10. Licenses Granted by You
You grant Service Provider and its affiliates a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license and right to copy, transmit, distribute, publicly perform and display (through all media now known or hereafter created), and make derivative works from your content. In addition, you waive any so-called “moral rights” in your content. You further grant all users of CNNCT permission to view your content for their personal, non-commercial purposes. If you make suggestions to Service Provider on improving or adding new features to CNNCT, Service Provider shall have the right to use your suggestions without any compensation to you.
11. Your Representations and Warranties
For each piece of content that you submit, you represent and warrant that: (i) you have the right to submit the content to CNNCT and Service Provider, and grant the licenses set forth above; (ii) Service Provider will not need to obtain licenses from any third party or pay royalties to any third party; (iii) the content does not infringe any third party’s rights, including intellectual property rights and privacy rights; and (iv) the content complies with this Agreement and all applicable laws.
You will indemnify, defend, and hold harmless Service Provider and its affiliates, directors, officers, employees, and agents, from and against all third party actions that: (i) arise from your activities with CNNCT; (ii) assert a violation by you of any term of this Agreement; or (iii) assert that any content you submitted to CNNCT / Service Provider violates any law or infringes any third party right, including any intellectual property or privacy right.
13. Third Party Copyrights and Other Rights Copyright Policy
Service Provider respects the intellectual property of others, and we ask our users to do the same. Each user is responsible for ensuring that the materials they upload to CNNCT / Service Provider do not infringe any third party’s copyright.
Service Provider will promptly remove materials in accordance with the Digital Millennium Copyright Act (“DMCA”) if properly notified that the materials infringe a third party’s copyright. In addition, Service Provider may, in appropriate circumstances, terminate the accounts of repeat copyright infringers.
